[01] INTRODUCTION & ACCEPTANCE
1. Introduction
Welcome to Axontick. By accessing our web properties, purchasing engineering services, downloading specifications, or authorizing deployment of automation workflows, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If contracting on behalf of a corporation, you represent that you possess lawful authority to bind that legal entity.
[02] SCOPE OF ENGINEERING SERVICES
2. Services
Axontick delivers enterprise AI automation consulting, high-concurrency voice agent architecture, multi-agent LangGraph pipelines, software integration, and custom autonomous infrastructure. All deliverables are built against specific project proposals or service packages mutually executed between Axontick and the client.
[03] CLIENT OBLIGATIONS & SYSTEM ACCESS
3. Client Responsibilities
To ensure on-schedule delivery and reliable architecture, clients agree to:
Provide timely API credentials, webhooks, staging environments, and authorizations required to integrate workflow platforms.
Ensure that all business data, prompts, and system instructions comply with applicable privacy laws and third-party terms of service.
Appoint a qualified technical point of contact for sprint sign-offs and acceptance verification within agreed SLA windows.
[04] INTELLECTUAL PROPERTY & SHOWCASE RIGHTS
4. Intellectual Property & Deliverable Ownership
Upon receipt of full contract payment, the client retains 100% intellectual property ownership of the custom workflows, schemas, assistant prompts, and configuration manifests engineered exclusively for their deployment. Axontick retains ownership of its pre-existing core tooling, proprietary utility libraries, and generalized design methodologies.
RIGHT TO SHOWCASE
Axontick reserves the right to showcase non-confidential architecture blueprints, high-level workflow diagrams, and anonymized performance metrics (e.g. latency reductions, throughput gains) in our portfolio, case studies, and engineering briefs, ensuring zero confidential credentials or private client data are ever revealed.
[05] THIRD-PARTY PLATFORM DEPENDENCIES
5. Third-Party Platforms & Service Disruptions
Our automated systems interconnect with third-party vendors (including OpenAI, Anthropic, Retell AI, Twilio, Make, Zapier, and CRM providers). Axontick cannot be held liable for:
Service outages, rate limits, latency fluctuations, or token fee changes imposed by upstream LLM or infrastructure providers.
Deprecations or unexpected schema breaking changes implemented by third-party APIs.
Direct software subscription fees billed by external SaaS platforms to the client.
[06] LIABILITY LIMITATIONS
6. Limitation of Liability
To the maximum extent permitted by applicable law, Axontick shall not be liable for any indirect, punitive, incidental, or consequential damages, including loss of profits, data corruption, or business interruption. In all events, Axontick's aggregate liability shall not exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim in the preceding three-month period.
[07] PAYMENT TERMS & MILESTONES
7. Payment Terms
Invoices are issued according to project milestone schedules agreed upon in the contract. Unless otherwise specified in writing, payment is due upon receipt. Axontick reserves the right to suspend active development or pause staging instance deployment if payment accounts fall past due.
[08] CONTRACT TERMINATION PROTOCOLS
8. Termination
Either party may terminate an engagement with written notice. In the event of termination, the client remains responsible for payment covering all hours or milestones completed through the effective termination date. Upon settlement, Axontick will deliver all project assets and transition access credentials cleanly.
[09] JURISDICTION & GOVERNING LAW
9. Governing Law
These terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
