3. Client Responsibilities
To ensure the success of our projects, clients agree to:
- Provide necessary access to relevant accounts, APIs, and software platforms required for the automation.
- Ensure that all data provided is accurate and lawful.
- Collaborate in a timely manner regarding feedback and approvals.
4. Intellectual Property & Showcase Rights
Upon full payment, the client owns the specific deliverables and custom configurations created for their project. However, Axontick retains ownership of any pre-existing intellectual property, reusable code libraries, and methodologies used.
Right to Showcase
We reserve the right to showcase any products, automations, workflows, or other deliverables created during our engagement on our website, portfolio, social media, or other platforms for promotional purposes. This includes case studies and visual representations of the work performed, provided no confidential or sensitive client data is exposed.
5. Third-Party Platforms
Our services often rely on third-party platforms (e.g., Zapier, Make, OpenAI, CRM systems). Axontick is not responsible for:
- Downtime, service interruptions, or data loss caused by these third-party providers.
- Changes to APIs, pricing models, or terms of service of these third-party platforms.
- Any costs associated with third-party subscriptions required for the automation to run.
6. Limitation of Liability
Axontick shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or the failure of any automation workflow. While we strive for reliability, automation systems can encounter errors due to external factors beyond our control.
7. Payment Terms
Services are billed according to the agreed-upon proposal or contract. Invoices are due upon receipt unless otherwise specified. We reserve the right to pause or terminate services for late payments.
8. Termination
Either party may terminate the engagement with written notice. Upon termination, the client is responsible for payment for all work completed up to that date. Axontick will provide a handover of all active credentials and workflow documentation.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Axontick is registered.
